Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you — and, where you use the Service on behalf of an organization, that organization (“Customer,” “you,” or “your”) — and Prepixo Private Limited, a company incorporated in Noida, India (“Prepixo,” “Cogniseam,” “we,” or “us”), governing your access to and use of the Cogniseam application, website, and Agent API (together, the “Service”). If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

Where you have a signed order form, enterprise agreement, or other written agreement with us that conflicts with these Terms, that agreement controls for the scope it covers.

Cogniseam is an institutional-memory and retrieval platform: it lets an organization connect knowledge sources, ask questions over that knowledge with AI assistance, and govern who can see what through access-controlled, cited answers. Features, connectors, and deployment options (cloud, private cloud, or self-hosted) vary by plan — see Pricing. We may modify, add to, or discontinue features of the Service, and will provide reasonable notice of changes that materially reduce functionality you're actively using on a paid plan.

You must provide accurate information when creating an account and keep it up to date. You are responsible for safeguarding your account credentials and for all activity under your account. A workspace owner is responsible for managing who has access to that workspace and at what permission level, including via single sign-on and provisioning integrations they configure. Tell us promptly at legal@cogniseam.com if you become aware of unauthorized use of an account.

You agree not to, and not to permit others to:

• use the Service to violate applicable law, or to store or transmit content you don't have the right to share;
• attempt to gain unauthorized access to another workspace, account, or system, or probe, scan, or test the vulnerability of the Service;
• reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent applicable law expressly permits;
• use the Service to build a directly competing product, or resell or sublicense access without our written consent;
• use the Service to generate or distribute content that is unlawful, infringing, or intended to harass, defame, or deceive; or
• interfere with or disrupt the integrity or performance of the Service, including through excessive automated use outside documented API limits.

“Customer Content” means the documents, messages, files, and other data you or your workspace connect, upload, or generate through the Service. As between you and Prepixo, you (or your organization) retain all rights to Customer Content. You grant us a limited right to host, process, transmit, and display Customer Content solely to provide the Service to you and your workspace, in accordance with our Privacy Policy. We do not use Customer Content to train any third-party or foundational AI model, and we do not sell Customer Content. You are responsible for having the rights necessary to connect and process Customer Content through the Service, including any rights required from the source systems you authorize us to connect to.

The Service uses third-party AI models to generate answers, summaries, and other output based on Customer Content and your prompts. AI-generated output may be inaccurate or incomplete despite citation to source material, and you are responsible for evaluating it before relying on it for a decision. Cogniseam is designed to cite its sources so answers can be checked against the underlying record — but it does not warrant the accuracy, completeness, or fitness for a particular purpose of any AI-generated output.

Paid plans are billed as described at the time of purchase or in your order form. Fees are non-refundable except as required by law or as we expressly state. We may suspend access for non-payment after reasonable notice. Free or trial access is provided “as is” and may be changed, limited, or withdrawn at our discretion.

The Service integrates with third-party sources and AI providers you choose to connect or that your deployment is configured to use (for example Microsoft 365, Google Workspace, Slack, Notion, Jira, GitHub, Anthropic, OpenAI, Google Gemini, and Azure services). Your use of those third-party services remains subject to their own terms, and we are not responsible for their acts, omissions, or availability.

Prepixo and its licensors retain all right, title, and interest in and to the Service, including its software, design, and the Cogniseam name and marks, excluding Customer Content. Nothing in these Terms transfers any of our intellectual property to you except the limited right to use the Service as permitted here.

Each party may receive non-public information from the other in connection with the Service. Each party will use the other's confidential information only to perform its obligations or exercise its rights under these Terms, and will protect it with at least the same care it uses for its own confidential information of similar importance, and no less than reasonable care.

Except as expressly stated in a written agreement between us, the Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of or related to these Terms or the Service. Each party's total liability arising out of or related to these Terms will not exceed the amount you paid us for the Service in the 12 months preceding the event giving rise to the claim, except where a separate written agreement states otherwise, or where applicable law does not permit such a limitation.

You agree to indemnify and hold Prepixo harmless from claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, your Customer Content, or your misuse of the Service, except to the extent caused by our breach of these Terms.

These Terms remain in effect while you use the Service. You may stop using the Service, or close your account, at any time. We may suspend or terminate access for a material breach of these Terms that isn't cured within a reasonable period after notice, or immediately where necessary to prevent harm to the Service, other users, or third parties. On termination, your right to use the Service ends; provisions that by their nature should survive (including Sections 5, 9, 10, 12, and 13) continue to apply.

These Terms are governed by the laws of India, without regard to conflict-of-law principles, and the courts at Noida / Gautam Buddha Nagar, Uttar Pradesh, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where a separate written agreement between the parties states otherwise or applicable law requires a different forum.

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
